JSC “GKS”, registration number 1097746468467, date of foundation 20.08.2009, is the owner of the “Stankolit” shopping complex.

At present 100% of shares belong to structures connected with Edgar Gvazava and his sons Alyas Gvazava and Dmitry Gvazava. Until 2012 100% of shares belonged to the family of the Swiss businessman Mikhail Vladimirovich Dvornikov.

History

The “Stankolit” shopping complex was created in 1998 in the Butyrsky District of Moscow. In the years of the USSR on this territory operated the metallurgical plant “Stankolit”. In 1998 the territory and the workshops of the plant were bought by Mikhail Dvornikov and on their basis he created the “Stankolit” shopping complex.

Until 2006 the object was registered as CJSC “CMD”, date of foundation 26.02.2001 (registration number 1027700319140), 100% of shares belonged to Mikhail Vladimirovich Dvornikov. In 2006, for the purpose of tax optimization, the owner of the “Stankolit” shopping complex became Emma Dvornikova.

One of the key anchor tenants became the retail chain “Sunrise”. In 2009 the “Sunrise” chain was subjected to a hostile takeover by structures of Alfa-Bank. In this period “Sunrise” stopped paying rent, and control over the chain passed to structures A1 (the investment division of “Alfa-Group”). The new owners of “Sunrise” refused to pay rent and to vacate the leased premises; for protection from unfriendly actions of Alfa-Bank in 2009 the property of the shopping complex was transferred to JSC “GKS” (registration number 1097746468467). In order to protect the property from a raider seizure and unfriendly actions, the shares were diluted among several persons (the shareholders were the family of the businessman Mikhail Vladimirovich Dvornikov).

The conflict with structures of Alfa-Bank continued: in 2010–2011 there were attempts to discredit the Dvornikov family; at the end of 2011 the leased premises of the shopping complex were vacated from “Sunrise” and structures of Alfa-Bank.

In 2012 the family of Mikhail Vladimirovich Dvornikov sold 100% of shares of JSC “GKS” to the family of businessman Edgar Gvazava (Alyas Gvazava and Dmitry Gvazava). The new owner attracted a number of large tenants, including Metro Cash & Carry, opened a food court, other retail outlets and storage premises, and also carried out reconstruction and construction of new areas.
